AGREEMENT TO TERMS
These Terms of Use("Terms") constitute a legally binding agreement between you and Blanche Kohen LLC ("Blanche Kohen LLC," "we,""us"), a company incorporated in New Zealand, Company Number: 9298020,NZBN: 9429052499869, Registered Address: Wellington, New Zealand. These Terms govern your access toand use of blanchekohen.com, Menojoy.app, WomenOver40Clarity.com,and the Menojoy mobile application (collectively, the "Services").
BY ACCESSING OR USING THE SERVICES,YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
1. ELIGIBILITY
1.1 You must be at least 16 years old to use the Services. By using the Services, you represent that you are at least 16.
1.2 If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. ACCOUNT REGISTRATION
2.1 Account Required. You may need to create an account to access Menojoy App. You agree to provide accurate, current information and keep it updated.
2.2 Security. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately at support@blanchekohen.com of any unauthorized use.
2.3 One Account. One person may not maintain more than one account. We may terminate duplicate accounts.
3. LICENSE TO USE SERVICES
3.1 Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable,revocable license to access and use the Services for your personal, non-commercial use.
3.2 Restrictions. You will NOT:
a) Copy, modify, distribute, sell, or lease any part of the Services;
b) Reverse engineer or attempt to extract source code;
c) Use the Services for any illegal purpose or to violate any laws;
d) Upload viruses or malicious code;
e) Scrape, data mine,or use bots to access the Services;
f) Impersonate any person or misrepresent your affiliation.
4. SUBSCRIPTIONS, PAYMENTS, AND BILLING
4.1 Subscriptions. MenojoyApp offers auto-renewing subscriptions: monthly or annual. Payment will becharged to your chosen payment method at confirmation of purchase.
4.2 Auto-Renewal. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
4.3 Price Changes. We may change subscription prices. Price increases for existing subscribers take effect at the next renewal. We will notify you at least 30 days in advance by email. Continued use after price change constitutes acceptance.
4.4 No Free Trials. MenojoyApp does not offer free trials. Service begins immediately upon payment.
4.5 All Sales Final. ALL SUBSCRIPTION FEES AND PURCHASES ARE NON-REFUNDABLE. See Refund Policy at blanchekohen.com/refunds-policy. By purchasing, you waive any statutory right of withdrawal where permitted by law, except for rights under the Consumer Guarantees Act 1993 (NZ) for New Zealand consumers.
4.6 App Store Billing. If purchased via Apple App Store or Google Play, billing and refunds are governed by Apple/Google terms. Blanche Kohen LLC cannot process refunds for App Store purchases.
4.7 GST. Prices displayed to New Zealand customers include 15% Goods and Services Tax (GST) as required by NZ law. International customers are not charged NZ GST.
5. USER CONTENT
5.1 Your Content. You retain ownership of health data, journal entries, and other content you input into Menojoy App ("User Content").
5.2 License to Us. You grant Blanche Kohen LLC a worldwide, royalty-free license to host, store, and process your User Content solely to provide and improve the Services. We do not sell your User Content.
5.3 Responsibility. You are solely responsible for your User Content. You represent that you have all rights necessary to input it and that it does not violate any law or third-party rights.
5.4 Prohibited Content. You will not post content that is illegal, infringing, defamatory, obscene, or violates our policies. We may remove User Content that violates theseTerms.
6. INTELLECTUAL PROPERTY
6.1 Our IP. The Services,including all software, design, text, graphics, and trademarks, are owned by Blanche Kohen LLC or our licensors and protected by copyright, trademark, and other laws.
6.2 Feedback. If you providefeedback, you grant us a perpetual, irrevocable license to use it without compensation.
7. THIRD-PARTY SERVICES AND LINKS
The Services may contain links to third-party websites or integrate with third-party services like Stripe or Firebase. We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.
8. ACCEPTABLE USE You agree not to use the Services to:
a) Violate any law or regulation;
b) Harass, abuse, or harm others;
c) Upload false or misleading health information with intent to deceive;
d) Interfere with or disrupt the Services;
e) Attempt to gain unauthorized access to systems or data. We may suspend or terminate accounts that violate this section.
9. TERMINATION
9.1 By You. You may delete your account at any time via Menojoy.app/account. Cancellation does not entitle you to a refund per Section 4.5.
9.2 By Us. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or for any reason with 30 days notice. No refunds will be issued except where required by the Consumer Guarantees Act 1993 (NZ).
9.3 Effect. Upon termination, your license ends and you must cease use. Sections 5, 6, 10,11, 12, 13, 14, 15, 16 survive termination.
10. DISCLAIMERS
10.1 "AS IS". THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE "WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Guarantee. We do not guarantee that the Services will be uninterrupted, secure, error-free, or that defects will be corrected. You use the Services at your own risk.
10.3 New Zealand CGA. If you are a consumer in New Zealand, you have guarantees under the Consumer Guarantees Act 1993 that cannot be excluded. Nothing in these Terms limits those guarantees. Where CGA applies, our liability is limited to the extentpermitted by CGA.
11. LIMITATION OF LIABILITY
11.1 Cap. TO THE MAXIMUMEXTENT PERMITTED BY LAW, BLANCHE KOHEN LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100 NZD, WHICHEVER IS GREATER.
11.2 Exclusion. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OFTHE POSSIBILITY.
11.3 NZ Exception. For New Zealand consumers, Section 11.1 and 11.2 do not exclude or limit liability where prohibited by the Consumer Guarantees Act 1993 or Fair Trading Act1986.
12. MEDICAL DISCLAIMER - NO MEDICAL ADVICE
12.1 Educational Purpose Only.
Menojoy App and WomenOver40Clarity.com provide general educational information about menopause and women's health. The Services are NOT intended as medical advice, diagnosis, or treatment. Blanche Kohen LLC is not a licensed medical provider.
12.2 No Doctor-PatientRelationship. Use of the Services does NOT create a doctor-patient or healthcare provider relationship.
12.3 Consult Your Physician. ALWAYS consult your physician before making health decisions. NEVER disregard professional medical advice because of information from the Services.
12.4 Not for Emergencies. DO NOT USE THE SERVICES FOR MEDICAL EMERGENCIES. CALL 111 (NZ), 911 (US), OR YOUR LOCAL EMERGENCY NUMBER.
12.5 No Health Outcome Guarantee. We do not warrant any specific health result. You assume full responsibility for health decisions.
12.6 Not HIPAA Covered. Blanche Kohen LLC is not a HIPAA covered entity. Health data you enter is not Protected Health Information under HIPAA.
12.7 NZ Health Practitioners Act. We are not registered health practitioners under the Health Practitioners Competence Assurance Act 2003 (NZ). BY USING THE SERVICES, YOU ACKNOWLEDGE YOU HAVE READ AND AGREE TO THIS MEDICAL DISCLAIMER.
13. INDEMNIFICATION
You agree to indemnify and hold Blanche Kohen LLC harmless from any claims, damages, or expenses arising from:
(a) your use of the Services,
(b) your User Content,
(c) your violation of these Terms, or
(d) your violation of any law or third-partyrights.
14. COPYRIGHT COMPLAINTS
We respect intellectual property. To report copyright infringement, see our Copyright Policy at blanchekohen.com/copyright. We respond to valid notices under the Copyright Act 1994 (NZ) and DMCA 17U.S.C. § 512.
15. DISPUTE RESOLUTION 15.1 Governing Law. These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.
15.2 Venue. You agree to the exclusive jurisdiction of the courts of New Zealand for any dispute arising from these Terms or the Services.
15.3 Informal Resolution.
Before filing a claim, contact support@blanchekohen.com to attempt informal resolution. Most issues resolve within 30 days.
15.4 NZ Consumer Rights.Nothing limits your rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 if you are a New Zealand consumer.
16. APP STORE ADDITIONAL TERMS
16.1 Apple. If you downloaded Menojoy from the Apple App Store, you acknowledge:
a) These Terms are between you and Blanche Kohen LLC only, not Apple;
b) Apple has no obligation to provide support;
c) Apple is not responsible for the App or claims relating to it;
d) Apple is athird-party beneficiary of these Terms and may enforce them.
16.2 Google. If downloaded from Google Play, you agree to Google's Terms of Service.
17. GENERAL
17.1 Entire Agreement. These Terms, plus Privacy Policy, Refund Policy, and EULA, constitute the entire agreement between you and Blanche Kohen LLC.
17.2 Changes. We may modify Terms at any time. Material changes notified by email or in-app 30 days before effective. Continued use constitutes acceptance.
17.3 Severability. If any provision is unenforceable, the rest remain in effect.
17.4 No Waiver. Failure to enforce any right is not a waiver.
17.5 Assignment. You may not assign these Terms. We may assign to an affiliate or successor.
